BEEBRAIN LLC, a limited liability company registered in the State of New York with registered address at 534 3rd Ave, Suite #1286, Brooklyn, NY 11215, USA (“BEEBRAIN,” “we,” “us,” or “our”).
These Terms of Service (“Terms”) govern your access to and use of the BEEBRAIN web application, listing-optimization tools, and related services (collectively, the “Service”). By creating an account, connecting an Amazon seller account, or otherwise using the Service, you (“you,” “user,” or “seller”) agree to these Terms. If you do not agree, do not use the Service.
If you are using the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and “you” refers to that entity.
BEEBRAIN provides AI-assisted tools that help Amazon sellers analyze, draft, and optimize product listings. With your authorization, the Service may connect to your Amazon seller account to read listing data and, where you direct it, apply edits or publish changes to your listings.
The Service generates suggested content and optimizations. All suggestions are recommendations only. You are solely responsible for reviewing, approving, and deciding whether to apply any content to your live Amazon listings.
The Service relies on your authorization to access your Amazon seller account through Amazon's official interfaces (including the Selling Partner API). When you connect an account, you grant us permission to read listing data and, at your direction, submit changes on your behalf.
This authorization is granted entirely at your discretion. You may revoke it at any time through your Amazon account settings or by disconnecting the account within the Service. You are responsible for ensuring that your use of the Service complies with all applicable Amazon policies, seller agreements, and program terms.
This section is important. Please read it carefully.
BEEBRAIN provides drafts, suggestions, and optimizations. You retain full and sole control over what is published to your Amazon listings. Any content that you review, approve, and submit to your listings - whether applied through the Service or otherwise, is your responsibility.

Amazon's listing and ranking systems are controlled by Amazon and may change without notice. We do not guarantee any particular result, including improved rankings, visibility, sales, conversion, or compliance outcomes.

The Service is offered on monthly subscription tiers, each including a fixed allowance of listing credits per month:
Listing credits reset at the start of each billing cycle and do not roll over. Unused credits are forfeited. A free trial provides a limited, one-time credit allowance and does not require a payment method.
Paid subscriptions are billed in advance through our third-party payment processor (Stripe). By subscribing, you authorize recurring charges until you cancel. You may cancel at any time; cancellation takes effect at the end of the current billing cycle. Except as expressly stated in our refund policy or required by law, fees are non-refundable. We may change pricing or tier features on reasonable notice.
Refunds. Refunds are available only on the Starter and Growth tiers, and only if requested within seven (7) days of the charge. To request a refund, you must contact us within that period and provide an explanation of what did not work or meet your expectations. All refund requests are reviewed and must be approved by our team; approval is at our discretion. Refunds are not available on the Business or Agency tiers, on top-up credit purchases, or for any charge where the request is made more than seven (7) days after billing. This does not limit any rights you may have under applicable law.
The Service, including its software, design, and underlying technology, is owned by us and our licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms.
You retain ownership of your own product information and the listing content you provide. You grant us a limited license to process that content solely to provide and improve the Service. As between you and us, you own the optimized content the Service generates for your listings, subject to these Terms.
The Service integrates with third parties, including Amazon, Stripe and Jungle Scout. Your use of those services is governed by their respective terms. We are not responsible for the availability, accuracy, or actions of any third-party service, including changes Amazon makes to its APIs, policies, or ranking systems.
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY CONTENT OR OPTIMIZATION WILL ACHIEVE ANY PARTICULAR RESULT. THIS IS A BETA PRODUCT AND MAY CONTAIN DEFECTS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BEEBRAIN AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, SALES, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE — INCLUDING ANY LISTING SUSPENSION, TAKEDOWN, RANKING OR CONVERSION CHANGE, LOST SALES, OR AMAZON ACCOUNT ACTION — EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
You agree to indemnify and hold harmless BEEBRAIN and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, the content you publish to your listings, your violation of these Terms, or your violation of any third-party rights or Amazon policies.
You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access if you breach these Terms, misuse the Service, or where required to protect the Service or other users. Provisions that by their nature should survive termination - including ownership, disclaimers, limitation of liability, and indemnification - will survive.
We may update these Terms from time to time. If we make material changes, we will provide reasonable notice, such as by email or in-app notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws principles. Any dispute arising from or relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in Kings County, New York, and you consent to their exclusive jurisdiction and venue.
